Commercial cleaning contracts explained for Perth property managers

What to look for in a commercial cleaning contract — SLA, audit standard, insurance, termination, and the clauses that quietly cost you money.

The short answer

A good Perth commercial cleaning contract makes five things unambiguous: the scope, the schedule, the audit standard, the termination terms, and what isn’t included. If any of those is vague, the contract isn’t done — and you’ll spend the next 12–36 months arguing about it.

This guide walks through each clause, explains what’s reasonable, and flags the wording that quietly costs you money.

What a commercial cleaning contract should cover

1. Scope of works (the line-item list)

The scope is the heart of the contract. It should be written as a task list, not prose. For every cleanable area, the scope should answer:

  • What is being cleaned (the surface, fitting or amenity).
  • How often (daily, every-other-day, weekly, monthly, quarterly).
  • At what standard (the visual or measurable outcome).

A reasonable scope for an office tenancy might read:

Workstations — surfaces dusted and wiped daily; thorough wipe with sanitiser weekly; cable-tray and under-desk dust quarterly.

Vague scopes that say “office cleaning as required” are unenforceable and will result in tenant disputes within 90 days.

2. Frequency and timing window

The schedule should specify:

  • The days of the week the contractor attends.
  • The start window and finish deadline (e.g. “complete by 6:30am” or “complete between 6pm–10pm”).
  • The agreed extra-frequency exceptions (e.g. quarterly carpet steam every March, June, September, December).

Avoid contracts that say “5 times per week” without specifying which days. Most disputes about “are they coming?” stem from one party assuming Monday–Friday and the other doing Tuesday–Saturday.

3. Audit standard and quality assurance

This is the clause that separates professional cleaners from amateur ones. A reasonable contract includes:

  • Visual audit cycle — typically monthly or quarterly walk-through by the contractor’s supervisor and the client representative.
  • Scoring system — agreed pass/fail criteria or numerical score per zone.
  • Photo reporting cadence — typically per visit for high-traffic zones, monthly for periodic-task evidence.
  • Issue escalation pathway — name, phone, response SLA.

If the contract is silent on audit standard, you have no enforceable quality lever beyond “we don’t think it’s clean enough” — which doesn’t survive a contract review.

4. Insurance and indemnities

Standard requirements for Perth commercial contracts:

  • Public liability insurance — $10M minimum, $20M preferred for larger sites.
  • Workers’ compensation insurance — current and verifiable.
  • Product liability (for any consumables they supply).
  • Indemnity for damage caused by negligence — bidirectional, with caps.

Ask for certificates of currency at contract signing and annually. Cleaners whose insurance lapses mid-contract are surprisingly common — and uninsured workplace injuries become your problem if you didn’t verify.

5. Cm3 / contractor prequalification

If your site uses Cm3 or another contractor prequalification system (most national-brand and large-format Perth retail does now), the contract should reference:

  • The required prequalification status.
  • Who maintains it (typically the contractor).
  • What happens if prequalification lapses.

For sites without formal prequalification, the contract should at least require the contractor to maintain SWMS for each task, a current incident register, and a documented WHS policy.

6. Consumables management

Consumables (soap, paper towels, toilet paper, sanitiser, bin liners) can be:

  • Tenant-supplied — you stock it, contractor uses what’s there.
  • Contractor-supplied at cost + admin fee — contractor manages procurement.
  • Contractor-supplied at fixed monthly rate — usually preferred for predictability.

Whichever model, the contract should specify it explicitly. “Consumables” mentioned vaguely is a recipe for surprise invoices.

7. Pricing and price reviews

A reasonable commercial cleaning contract pricing structure includes:

  • Fixed monthly rate for the recurring scope.
  • Itemised rate card for additional or one-off work (extra deep clean, emergency callout, after-hours surge).
  • Annual CPI adjustment — typically capped at All Groups Perth CPI.
  • Re-pricing trigger events — material scope changes, tenancy size changes, frequency changes.

Avoid contracts with un-capped “operational uplift” or “fuel surcharge” clauses — they’re a backdoor for unilateral price increases.

8. Termination

The notice period for commercial cleaning contracts in Perth typically runs:

  • 30 days for month-to-month or short-form contracts.
  • 60–90 days for 12+ month contracts.
  • Immediate termination for material breach — clearly defined breach types (insurance lapse, repeated SLA failure, fraud, safety incident).

Cleaners pushing for 120+ day notice periods or “tail clauses” (severance payments on termination) are usually trying to protect themselves from churn — fine to negotiate down.

Three clauses that quietly cost you money

Clause 1: “Or equivalent”

When the scope says “Karcher pressure washer or equivalent” or “Diversey chemical or equivalent”, the contractor can substitute down to the cheapest option. For specialist work, name the brand and grade or require pre-approval for substitutes.

Clause 2: “At contractor’s discretion”

Anywhere the contract says “at contractor’s discretion” — usually around frequency or scope of periodic tasks — gives the contractor authority to under-deliver while complying with the letter of the contract. Replace with explicit frequencies or “at client’s reasonable direction”.

Clause 3: Auto-renewal with short opt-out window

A contract that auto-renews for 12 months unless terminated 60 days before expiry, when the expiry date isn’t prominently noted anywhere, is a renewal trap. Insist on a written renewal notice from the contractor at least 90 days before expiry, listing the new terms.

Termination during contract — what’s reasonable

The valid grounds for terminating a commercial cleaning contract before expiry typically include:

  • Insurance lapse not remedied within 7 days.
  • Repeated SLA failure — usually three documented failures in 90 days.
  • Safety incident caused by contractor negligence.
  • Material misrepresentation in the original tender.
  • Material adverse change in tenancy occupancy (e.g. tenant exit, premises closure).
  • Failure to pay by the client (the reverse case).

What’s typically not valid grounds: “we found a cheaper cleaner”. If you want flexibility to switch, negotiate for a month-to-month contract or a shorter base term, not a 36-month contract with broad termination rights.

How to compare commercial cleaning bids

A fair tender process for Perth commercial cleaning typically asks for:

  1. Tenderer’s company structure, years operating, key personnel.
  2. Insurance certificates (current).
  3. Prequalification status (Cm3 or equivalent).
  4. SWMS samples for the major task categories.
  5. Two reference contacts at comparable sites.
  6. Pricing — broken into fixed monthly + rate-card additional.
  7. Annual price-review mechanism.
  8. Proposed quality assurance and audit cycle.
  9. Mobilisation plan and timeline.
  10. Sample scope of works with line-item tasks and frequencies.

Bids that fail to provide any of items 1–5 should be set aside. Bids that materially underprice items 6–7 should be questioned — they’re often quietly cutting supervision, audit cycles or insurance grade to land at that number.
